End User Licence Agreement (EULA)

This End User Licence Agreement ("EULA") is a legal agreement between BD Digital Services Ltd, a company registered in England and Wales (company no. 16280637) with its registered office at Ryefield Court 81 Joel Street, Northwood Hills, Middlesex, United Kingdom, HA6 1LU trading as, Built Dynamics - ("Built Dynamics", "we", "us" or "our"), and the individual or entity registering to use or accessing the Built Query platform ("User" or "you").

By clicking "I Accept" or otherwise accessing or using the Built Query platform ("Platform"), you confirm that you have read, understood, and agree to be bound by this EULA. If you do not agree to these terms, you must not use the Platform.

Important: This Platform is intended for use by business users only. If you are a consumer, you must not use the Platform.

1. System Requirements

1.1 The Platform is a secure, web-based software application accessed via standard internet browsers.

1.2 To operate correctly, you will require:

A modern operating system capable of running the latest version of a supported browser (e.g., Chrome, Edge, Safari).
A stable internet connection with sufficient bandwidth to load interactive content.

2. Term and Termination

2.1 This EULA comes into effect on the date you first access the Platform and continues until terminated by you or us in accordance with these terms.

2.2 We may suspend, limit, or terminate your access to the Platform at any time, with or without notice, if you breach this EULA, misuse the Platform, or if continued access poses a security, legal, or operational risk.

2.3 You may terminate your account at any time by notifying us in writing.

2.4 Upon termination, all rights granted to you under this EULA will immediately cease, and you must stop all use of the Platform.

3. Intellectual Property & Licence

3.1 All intellectual property rights in and to the Platform, its content, and any related materials are owned by Built Dynamics or its licensors.

3.2 Subject to this EULA, we grant you a non-exclusive, non-transferable, non-sublicensable, limited licence to access and use the Platform solely for your internal business purposes.

3.3 You may not:

Copy, modify, adapt, translate, reverse engineer, decompile, or create derivative works from the Platform;
Circumvent or attempt to circumvent any security features;
Use the Platform to provide services to third parties without our prior written consent.

3.4 You grant us a worldwide, royalty-free, transferable licence to use, reproduce, and process any data or content you submit to the Platform, solely for the purposes of providing and improving the Platform and related services.

3.5 You retain all rights and ownership of your input data and any outputs generated by the Platform, subject to the licence granted in Clause 3.4.

4. Acceptable Use

You agree that you will:

Use the Platform only in compliance with applicable laws and regulations;
Keep your login credentials confidential and secure;
Not knowingly upload viruses, malware, or other harmful code;
Not attempt to access accounts or data other than your own;
Not use the Platform for any unlawful, harmful, or abusive purpose.

5. Content & Data Accuracy

5.1 The Platform provides tools for structuring, organising, and reporting on data you input.

5.2 We do not independently verify the accuracy of any data entered by you or your organisation and are not responsible for any errors, omissions, or reliance on such data.

5.3 You are responsible for ensuring that your data is accurate, lawful, and complete.

6. Data Protection & Privacy

6.1 We process personal data in accordance with our Privacy Policy, which is available at https://www.builtdynamics.com/privacy-policy.

6.2 By using the Platform, you consent to the processing of personal data in accordance with our Privacy Policy.

6.3 If you input any personal data into the Platform, you warrant that you have the necessary rights and permissions to do so.

7. No Warranty

7.1 The Platform is provided on an "as is" and "as available" basis.

7.2 We make no warranties, express or implied, regarding the Platform's performance, availability, security, or fitness for a particular purpose.

7.3 We do not guarantee uninterrupted or error-free operation of the Platform.

8. Limitation of Liability

8.1 To the maximum extent permitted by law, we will not be liable for:

Indirect, incidental, special, or consequential damages;
Loss of profits, business, or data;
Any damages arising from your use of, or inability to use, the Platform.

8.2 Nothing in this EULA limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under UK law.

9. Confidentiality

9.1 All data, content, and information you access via the Platform is confidential to you or your organisation. We will keep such data confidential, except where disclosure is required by law or as necessary to provide the Platform and related services.

9.2 You agree to keep any proprietary information about the Platform confidential and not disclose it to third parties.

10. AI Outputs and Responsibility

10.1 The Platform uses AI-based tools to assist with document analysis and data extraction. You acknowledge that:

AI-generated outputs may not be complete, accurate, or appropriate in all circumstances;
You are solely responsible for verifying the accuracy and suitability of outputs before relying on them;
Built Dynamics is not liable for decisions, actions, or outcomes based on the Platform's outputs.

11. Indemnity

11.1 You agree to indemnify, defend and hold harmless Built Dynamics, its affiliates, and personnel from and against any claims, losses, damages, liabilities, costs and expenses (including reasonable legal fees) arising from:

Your breach of this EULA;
Any content or data submitted by you that violates applicable law or infringes third-party rights.

12. Force Majeure

12.1 We are not liable for any failure or delay in performing our obligations due to events beyond our reasonable control, including but not limited to internet failures, cloud provider outages, natural disasters, pandemics, war, or government action.

13. Changes to the Platform & EULA

13.1 We may update the Platform from time to time to improve functionality, security, or performance.

13.2 We may also update this EULA by posting a revised version on the Platform or our website. Continued use of the Platform after such changes will constitute your acceptance of the updated EULA.

14. Governing Law & Jurisdiction

This EULA is governed by and construed in accordance with the laws of England and Wales, and the courts of England and Wales will have exclusive jurisdiction over any dispute arising from it.
